Nothing in these terms creates any agency, partnership, joint venture, employment or franchise relationship between you and us. Headings are for convenience only and do not affect interpretation.
(a) Severance: If any provision of these terms is found to be invalid or unenforceable, that provision will be deemed deleted to the minimum extent necessary and the rest will remain in full force and effect.
(b) Assignment: You may not assign, transfer or novate your rights or obligations under these terms without our prior written consent.
(c) Waiver: A failure or delay by us to enforce any provision is not a waiver of that or any other provision. A waiver is only effective if in writing.
(d) Governing law & jurisdiction: These terms (and any non-contractual obligations arising out of them) are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these terms.
